HappinessCue® Client Agreement

This Client Agreement (“Agreement”) governs your access to and use of the HappinessCue® platform (“Platform”) as a Client.

By:

  • Registering on the Platform
  • Booking sessions
  • Purchasing services or plans
  • Accessing Expert listings
  • Using platform features or tools

You acknowledge that:

  • You have read and understood this Agreement
  • You agree to be legally bound by it
  • You agree to comply with all related platform policies and guidelines

If you do not agree with this Agreement, you must discontinue use of the Platform immediately.


1. Platform Overview

HappinessCue® is a technology-enabled facilitation platform that connects users (“Clients”) with independent Experts offering:

  • Coaching
  • Wellness guidance
  • Mentoring
  • Advisory-based support
  • Personal growth-oriented interactions
  • Awareness and development-focused services

The Platform acts solely as an intermediary technology service provider.

HappinessCue® does not:

  • Provide medical treatment
  • Offer psychiatric diagnosis
  • Deliver clinical therapy
  • Guarantee outcomes or results
  • Supervise Expert opinions or methods
  • Create therapist-patient or doctor-patient relationships

Experts available on the Platform operate independently.


2. Eligibility

To use the Platform as a Client, you confirm that:

  • You are legally capable of entering into binding agreements under applicable law
  • You are at least 18 years of age, or using the Platform under valid parental or guardian supervision where permitted
  • Information provided by you is accurate and complete

You remain responsible for maintaining updated account information.


3. Nature & Scope of Services

Services available on the Platform are intended for:

  • Wellness support
  • Guidance and awareness
  • Coaching and mentoring
  • Personal development
  • Advisory-oriented interactions

The Platform and Experts do not provide:

  • Emergency support
  • Medical diagnosis
  • Psychiatric care
  • Clinical rehabilitation
  • Crisis intervention services

Users acknowledge that:

  • Guidance may be general in nature
  • Outcomes vary significantly between individuals
  • Advice may not be suitable for every person or situation
  • Remote digital interactions have inherent limitations

Clients remain solely responsible for:

  • Decisions made
  • Actions taken
  • Interpretations formed
  • Reliance placed on Expert guidance

4. No Emergency or Crisis Support

HappinessCue® is not a crisis-response or emergency support platform.

The Platform must not be relied upon for:

  • Suicide prevention
  • Psychiatric emergencies
  • Immediate emotional intervention
  • Medical emergencies
  • Urgent mental health situations

If you are experiencing:

  • Severe emotional distress
  • Thoughts of self-harm
  • Risk of harm to yourself or others
  • Immediate danger or abuse

You should immediately contact:

  • Emergency services
  • Hospitals
  • Licensed healthcare professionals
  • Crisis support providers
  • Trusted emergency support systems

HappinessCue® shall not be liable for delayed emergency care or failure to seek licensed professional assistance.


5. User Accounts & Confidentiality

Clients may be required to create an account to access Platform services.

You are responsible for:

  • Maintaining account confidentiality
  • Securing login credentials
  • Restricting unauthorised access
  • Activities occurring under your account

You agree to notify HappinessCue® promptly if you suspect unauthorised access or misuse.

The Platform reserves the right to suspend or restrict accounts where reasonably necessary for:

  • Security
  • Compliance
  • Fraud prevention
  • Policy enforcement
  • Risk management

6. Session Bookings & Participation

By booking sessions through the Platform, you acknowledge and agree that:

  • Sessions are conducted remotely through digital formats
  • Stable internet connectivity is your responsibility
  • Device compatibility and technical readiness remain your responsibility
  • Session quality may depend on external technical conditions
  • Timely attendance and participation are required

Missed sessions caused by:

  • User-side internet failures
  • Device issues
  • Late joining
  • Absence or non-participation

may not qualify for refunds or rescheduling.

7. Remote Nature of Interactions

All services are delivered remotely via:

  • Chat
  • Audio
  • Video
  • Digital communication tools

Clients acknowledge and accept the inherent limitations of remote communication, including:

  • Connectivity interruptions
  • Reduced contextual understanding
  • Technical disruptions
  • Delays or misunderstandings

The Platform does not guarantee uninterrupted or flawless communication experiences.


8. Expert Independence & Verification Limitation

Experts available on the Platform operate independently.

While HappinessCue® may conduct reasonable onboarding or verification processes, the Platform does not guarantee:

  • Credential accuracy
  • Licensing validity
  • Professional suitability
  • Advice quality
  • Session compatibility
  • User satisfaction

Clients engage with Experts entirely at their own discretion and risk.

Any reliance on Expert guidance remains solely the responsibility of the Client.


9. Payments, Fees & Refunds

All transactions conducted through the Platform are subject to:

  • Displayed pricing
  • Applicable taxes
  • Platform fees
  • Payment gateway terms
  • Refund eligibility rules

Payments are processed through authorised third-party payment providers.

HappinessCue® shall not be responsible for:

  • Banking delays
  • Payment gateway disruptions
  • Incorrect payment information provided by users
  • Third-party transaction failures beyond reasonable control

Refunds, cancellations, and rescheduling requests are governed exclusively by the Payment, Cancellation & Refund Policy.


10. Premium Features & Plans

The Platform may offer premium plans, subscriptions, or enhanced features.

Premium access may provide:

  • Additional tools
  • Enhanced platform functionality
  • Priority visibility or support
  • Exclusive platform features

However, premium plans do not guarantee:

  • Better outcomes
  • Improved compatibility
  • Expert availability
  • Increased satisfaction
  • Preferential dispute outcomes

Premium features are additionally governed by the Premium Plans Terms of Use.


11. Client Conduct & Platform Integrity

Clients agree not to:

  • Harass or intimidate Experts
  • Share unlawful or harmful content
  • Misrepresent identity or intentions
  • Engage in abusive or discriminatory behaviour
  • Manipulate platform systems or reviews
  • Attempt unauthorised access to platform systems
  • Circumvent platform payments
  • Establish off-platform arrangements intended to bypass the Platform
  • Record or distribute sessions without consent

Clients are expected to engage respectfully, ethically, and responsibly.

Violation of platform policies may result in:

  • Session cancellation
  • Account restrictions
  • Suspension
  • Permanent removal
  • Legal action where applicable

12. Off-Platform Interaction Restriction

To maintain platform integrity, safety, and operational transparency:

Clients agree not to:

  • Solicit private off-platform services
  • Circumvent platform payment systems
  • Continue commercial engagements outside the Platform where prohibited
  • Exchange personal contact details for payment bypass purposes

Violation may result in:

  • Account suspension
  • Permanent platform restriction
  • Forfeiture of platform privileges
  • Financial recovery actions where applicable

13. Confidentiality & Privacy

HappinessCue® implements commercially reasonable safeguards designed to protect user information.

However:

  • Absolute confidentiality cannot be guaranteed
  • External disclosures remain beyond platform control
  • Digital communications involve inherent privacy limitations

Clients are responsible for exercising discretion while sharing sensitive information.

Data processing and privacy practices are governed by the Privacy Policy.


14. Session Recording Restrictions

Unless expressly authorised:

Clients must not:

  • Record sessions
  • Capture screenshots for distribution
  • Share private session content publicly
  • Redistribute Expert materials without consent

Violation may result in:

  • Suspension
  • Account termination
  • Legal consequences where applicable

15. Intellectual Property

All Platform branding, tools, systems, content, designs, and proprietary materials are owned by or licensed to CareerBricks Learning Solutions unless otherwise stated.

Clients may not:

  • Reproduce
  • Redistribute
  • Commercially exploit
  • Modify
  • Reverse engineer
  • Use platform materials without permission

Unauthorised use may result in legal action.


16. Third-Party Services

The Platform may integrate third-party tools, services, or websites.

HappinessCue®:

  • Does not control third-party services
  • Does not endorse their practices
  • Is not responsible for third-party conduct, performance, or policies

Users access third-party services at their own discretion and risk.


17. No Guarantee of Outcomes

HappinessCue® makes no guarantees regarding:

  • Emotional outcomes
  • Wellness improvements
  • Relationship outcomes
  • Professional outcomes
  • Session effectiveness
  • Expert compatibility
  • User satisfaction

Results vary based on:

  • Individual circumstances
  • Participation levels
  • Personal interpretation
  • External conditions beyond platform control

18. Suspension & Termination

HappinessCue® reserves the right, at its sole discretion, to:

  • Suspend accounts
  • Restrict access
  • Remove content
  • Terminate Platform usage
  • Deny future access

where reasonably necessary for:

  • Policy enforcement
  • Fraud prevention
  • Platform safety
  • Legal compliance
  • Operational integrity
  • Risk management

Termination shall not waive accrued obligations or liabilities.


19. Indemnity

Clients agree to indemnify and hold harmless HappinessCue®, CareerBricks Learning Solutions, and associated representatives from claims, liabilities, damages, losses, costs, or expenses arising from:

  • Misuse of the Platform
  • Violation of this Agreement
  • Violation of laws
  • Interactions with Experts or third parties
  • User-generated content
  • Reliance on Expert guidance

20. Limitation of Liability

To the fullest extent permitted by law:

HappinessCue®, CareerBricks Learning Solutions, and associated parties shall not be liable for:

  • Expert advice or conduct
  • User decisions or interpretations
  • Emotional or psychological distress
  • Financial or reputational losses
  • Session dissatisfaction
  • Technical interruptions
  • Indirect or consequential damages

Users access and use the Platform entirely at their own discretion and risk.

In no event shall the aggregate liability of HappinessCue® exceed the amount paid by the Client to the Platform during the preceding three months.


21. Force Majeure

HappinessCue® shall not be liable for delays, interruptions, or failures arising from events beyond reasonable control, including:

  • Natural disasters
  • Public emergencies
  • Government actions
  • Infrastructure failures
  • Internet outages
  • Cyber incidents
  • Technical malfunctions
  • Labour disruptions

22. Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.


23. Entire Agreement

This Agreement, together with related platform policies, constitutes the complete understanding between the Client and HappinessCue® regarding use of the Platform.


24. Amendments & Updates

HappinessCue® may revise this Agreement periodically to reflect:

  • Legal developments
  • Product updates
  • Operational requirements
  • Platform enhancements
  • Risk management considerations

Updated versions shall be published on the Platform.

Continued use after updates constitutes acceptance of revised terms.


25. Governing Law & Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of India.

All disputes shall fall under the exclusive jurisdiction of courts located in Gurugram, Haryana.
