HappinessCue® Website Terms of Use

These Website Terms of Use (“Terms”) govern your access to and use of the HappinessCue® platform, website, tools, services, dashboards, and associated digital features (“Platform”).

By accessing, browsing, registering on, or using the Platform in any manner, you acknowledge that:

  • You have read and understood these Terms
  • You agree to be legally bound by them
  • You agree to comply with all applicable platform policies and guidelines

If you do not agree with these Terms, you must discontinue use of the Platform immediately.


1. Platform Overview

HappinessCue® is a technology-enabled facilitation platform that enables users to:

  • Discover and connect with independent Experts
  • Book and attend remote sessions
  • Access guidance, wellness, mentoring, coaching, or advisory-oriented services
  • Use digital tools, resources, and premium platform features
  • Interact with Experts and other platform systems

The Platform acts solely as an intermediary technology service provider.

HappinessCue® does not:

  • Provide medical treatment or healthcare services
  • Offer psychiatric diagnosis or clinical therapy
  • Guarantee outcomes or results
  • Supervise or control Expert opinions or methods
  • Create therapist-patient, doctor-patient, fiduciary, employment, or agency relationships

Experts available on the Platform operate independently.


2. Eligibility

By using the Platform, you confirm that:

  • You are legally capable of entering into binding agreements under applicable law
  • You are at least 18 years of age, or using the Platform under valid parental/guardian supervision where permitted
  • Information provided by you is accurate, complete, and up to date

HappinessCue® reserves the right to suspend or terminate access where eligibility requirements are not met.


3. User Accounts & Responsibilities

Users may be required to create an account to access certain features.

You are responsible for:

  • Maintaining account confidentiality
  • Protecting login credentials
  • Restricting unauthorised access to your account
  • All activities occurring under your account

You agree to notify HappinessCue® promptly in case of suspected unauthorised access or misuse.

We reserve the right to:

  • Refuse registration requests
  • Suspend accounts
  • Restrict access
  • Remove accounts violating these Terms or platform policies

4. Nature of Services

Services available on the Platform are intended for:

  • Coaching
  • Wellness guidance
  • Mentoring
  • Personal development
  • Advisory and awareness-oriented support

The Platform and Experts do not provide:

  • Emergency intervention
  • Medical diagnosis
  • Psychiatric treatment
  • Clinical rehabilitation
  • Crisis response services

Users acknowledge that:

  • Outcomes may vary significantly
  • Advice may not be suitable for every individual
  • Services do not replace licensed professional healthcare or emergency services
  • Users remain solely responsible for their decisions, actions, and interpretations

5. Emergency & Crisis Limitation

HappinessCue® is not designed for emergencies or crisis situations.

The Platform must not be relied upon for:

  • Suicide prevention
  • Emergency counselling
  • Immediate psychiatric assistance
  • Medical emergencies
  • Urgent intervention situations

If you are experiencing:

  • Severe emotional distress
  • Thoughts of self-harm
  • Risk of harm to yourself or others
  • Any medical or psychiatric emergency

You should immediately contact:

  • Emergency services
  • Hospitals
  • Licensed healthcare professionals
  • Crisis-support providers
  • Trusted local support systems

Use of the Platform during emergencies is entirely at your own discretion and risk.


6. Remote Nature of Platform Services

All services on HappinessCue® are delivered remotely through digital formats, including:

  • Chat
  • Audio
  • Video
  • Platform messaging tools
  • Digital interactions

Users acknowledge and accept the limitations associated with remote digital communication.

Session quality may depend on:

  • Internet connectivity
  • Device compatibility
  • Environmental conditions
  • User participation
  • External technical factors

7. Acceptable Use & User Conduct

Users agree not to:

  • Harass, intimidate, threaten, or abuse others
  • Share unlawful, defamatory, misleading, or harmful content
  • Misrepresent identity or credentials
  • Engage in hate speech or discriminatory conduct
  • Upload malicious software or harmful code
  • Interfere with platform systems or security
  • Attempt unauthorised access to accounts or infrastructure
  • Use bots, scraping tools, or automation without permission
  • Circumvent platform payments or systems
  • Record or distribute sessions without consent
  • Establish off-platform arrangements intended to bypass the Platform

Users must use the Platform responsibly, ethically, and in compliance with applicable laws.


8. Platform Integrity & Off-Platform Restrictions

To maintain platform trust, safety, and operational integrity:

Clients and Experts agree not to:

  • Circumvent the Platform for payments
  • Solicit off-platform transactions
  • Continue commercial engagements outside the Platform where prohibited
  • Use personal contact exchange to bypass platform systems

Violation of this section may result in:

  • Account suspension
  • Permanent removal
  • Forfeiture of platform privileges
  • Financial recovery actions where applicable

9. Payments & Transactions

All transactions conducted on the Platform are subject to:

  • Displayed pricing
  • Applicable taxes
  • Payment gateway terms
  • Refund eligibility rules
  • Related platform policies

Payments are processed through third-party service providers.

HappinessCue® shall not be responsible for:

  • Banking delays
  • Payment gateway outages
  • Transaction failures beyond reasonable control
  • Incorrect payment information submitted by users

10. Premium Features & Subscriptions

The Platform may offer premium plans, subscriptions, or enhanced features.

Premium access may provide:

  • Additional tools
  • Priority visibility

However, premium access does not guarantee:

  • Improved outcomes
  • More bookings
  • Better compatibility
  • Increased visibility or earnings
  • Preferential dispute treatment

Premium services are additionally governed by the Premium Plans Terms of Use.


11. Intellectual Property Rights

All Platform content, including but not limited to:

  • Branding
  • Logos
  • Designs
  • Layouts
  • Text
  • Graphics
  • Software
  • Features
  • Interface elements
  • Tools
  • Proprietary systems

are owned by or licensed to CareerBricks Learning Solutions unless otherwise stated.

Users may not:

  • Copy
  • Reproduce
  • Modify
  • Commercially exploit
  • Reverse engineer
  • Redistribute
  • Create derivative works

without prior written permission.

Unauthorised use may result in legal action.


12. User Content & Platform Rights

By submitting reviews, feedback, messages, or other content through the Platform, you:

  • Confirm that you have lawful rights to share such content
  • Grant HappinessCue® a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute such content for platform-related purposes

We reserve the right to:

  • Moderate content
  • Remove inappropriate material
  • Restrict content violating laws or platform policies

Users remain solely responsible for content submitted by them.


13. Privacy & Confidentiality

HappinessCue® implements commercially reasonable safeguards to protect user information.

However:

  • Absolute confidentiality cannot be guaranteed
  • External disclosures remain beyond platform control
  • Digital communications inherently involve security limitations

Users are responsible for exercising discretion while sharing personal or sensitive information.

All data handling practices are governed by the Privacy Policy.


14. Session Recording Restrictions

Unless expressly authorised:

Users must not:

  • Record sessions
  • Capture screenshots for distribution
  • Share private interactions publicly
  • Distribute session content without consent

Violation may result in:

  • Suspension
  • Account termination
  • Legal consequences where applicable

15. Platform Availability & Technical Limitations

The Platform is provided on an “as-is” and “as-available” basis.

HappinessCue® does not guarantee:

  • Continuous availability
  • Error-free functionality
  • Uninterrupted access
  • Compatibility across all devices or systems

We shall not be liable for interruptions arising from:

  • Internet failures
  • Power outages
  • Technical malfunctions
  • Third-party provider failures
  • Cyber incidents
  • Force majeure events

Users are responsible for maintaining adequate technical readiness.


16. Expert Verification Limitation

While HappinessCue® may conduct reasonable onboarding and verification processes, the Platform does not guarantee:

  • Accuracy of credentials
  • Licensing validity
  • Expertise quality
  • Session suitability
  • Outcomes from Expert interactions

Users engage with Experts at their own discretion and risk.


17. Third-Party Services & External Platforms

The Platform may integrate or link to third-party tools, websites, or services.

HappinessCue®:

  • Does not control such third parties
  • Does not endorse their content or practices
  • Is not responsible for their policies, performance, or conduct

Users access third-party services at their own discretion.


18. Suspension & Termination

HappinessCue® reserves the right, at its sole discretion, to:

  • Suspend accounts
  • Restrict access
  • Remove content
  • Terminate platform usage
  • Deny future access

where reasonably necessary for:

  • Policy enforcement
  • Fraud prevention
  • Platform safety
  • Legal compliance
  • Risk mitigation
  • Operational integrity

Termination shall not waive accrued rights, obligations, or liabilities.


19. Indemnity

You agree to indemnify, defend, and hold harmless HappinessCue® and CareerBricks Learning Solutions, including their affiliates, representatives, and service providers, from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your misuse of the Platform
  • Violation of these Terms
  • Violation of law
  • User-generated content
  • Interactions with other users or Experts
  • Breach of platform policies

20. Limitation of Liability

To the fullest extent permitted by law:

HappinessCue®, CareerBricks Learning Solutions, and associated parties shall not be liable for:

  • Expert advice or conduct
  • User decisions or actions
  • Emotional, psychological, reputational, financial, or personal losses
  • Indirect or consequential damages
  • Technical interruptions
  • Loss of data or profits
  • Service dissatisfaction

Users access and use the Platform entirely at their own discretion and risk.

In no event shall the aggregate liability of HappinessCue® exceed the amount paid by the user to the Platform during the preceding three months.


21. Force Majeure

HappinessCue® shall not be liable for delays, interruptions, or failures arising from events beyond reasonable control, including:

  • Natural disasters
  • Government actions
  • Internet outages
  • Technical failures
  • Public emergencies
  • Cyber incidents
  • Labour disruptions
  • Infrastructure failures

22. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.


23. Entire Agreement

These Terms, together with associated platform policies, constitute the complete agreement between users and HappinessCue® regarding Platform usage.


24. Amendments & Updates

HappinessCue® may revise these Terms periodically to reflect:

  • Legal developments
  • Product changes
  • Operational requirements
  • Platform improvements
  • Risk management needs

Updated versions shall be published on the Platform.

Continued use after updates constitutes acceptance of revised Terms.


25. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

All disputes shall fall under the exclusive jurisdiction of courts located in Gurugram, Haryana.
